1. About us and these terms

www.osp-retail.co.uk (the “site”, including osp-retail.com, which redirects to it) is run by OSP Retail Limited, trading as OSP Retail (“OSP”, “we”, “us”). We are registered in England and Wales under company number 09186420, and our registered office is 227a West Street, Fareham, Hampshire, PO16 0HZ. Contact us at hello@osp-retail.co.uk.

These terms explain how you may use the site. By using it, you accept them. If you do not agree, please do not use the site.

These terms cover the public website only. Our consultancy services and SaaS products, including the MSO and Windlass platforms and our helpdesk, are provided under separate written contracts. If those agreements conflict with these terms, the agreements take priority.

2. Changes and availability

We may change these terms at any time by updating this page. The date at the top shows when they last changed. Please check back whenever you use the site.

We may update, suspend, withdraw or restrict access to all or part of the site for business or operational reasons. We provide the site free of charge and do not guarantee that it will always be available or uninterrupted. We will try to give reasonable notice of any suspension or withdrawal.

3. Acceptable use

You may use this site only for lawful purposes and in line with these terms. You must not:

  1. Use the site in any way that breaks any applicable law or regulation, or that is fraudulent or harmful.
  2. Try to gain unauthorised access to the site, the server it is stored on, or any connected server, computer or database.
  3. Attack the site through a denial-of-service or distributed denial-of-service attack.
  4. Knowingly introduce viruses, trojans, worms, logic bombs or other malicious or harmful material.
  5. Scrape, crawl, harvest or systematically copy content or data from the site by automated means, including to train machine-learning or AI models, without our written permission.
  6. Send, or arrange the sending of, unsolicited advertising or promotional material through the site’s forms.
  7. Submit anything through our contact forms that is defamatory, offensive, or infringes anyone else’s rights.

Breaking point 2, 3 or 4 may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and cooperate with them, including by disclosing your identity. If such a breach happens, your right to use the site will end immediately.

4. Intellectual property

We, or our licensors, own all intellectual property rights in the site and its content, including text, graphics, software, designs and the OSP and MSO names and logos. They are protected by copyright and other laws worldwide.

You may view, print or download extracts for your own business reference, and share our content with colleagues, as long as you:

  • keep any copyright notices;
  • do not change it or use any graphics, photos or videos separately from the text around them;
  • always credit OSP as the source; and
  • do not use it commercially without a licence from us.

Third-party marks. RELEX and RELEX Solutions are trade marks of RELEX Oy. Client names and logos belong to their owners. We show client names and logos under the marketing terms of our agreements with those clients, to describe work we have done together. This does not mean their owners endorse this site or any product beyond that relationship. If you are a client and want your name or logo removed, contact us.

5. Information on the site

The content on the site is general information only. It is not professional advice, and you should not rely on it without advice specific to your business.

We work to keep the site accurate and current, but we make no promise, express or implied, that its content is accurate, complete or up to date.

Case studies and results. Case studies, statistics and outcomes describe specific projects under specific conditions. They do not guarantee similar results for your business.

No offer. Nothing on the site is an offer to supply services or software. Product features, capabilities and prices may change. Any supply is subject to a signed agreement with us.

Ideas you send us. Please don’t send confidential information or ideas through our contact form. Unless we have agreed otherwise in writing, we treat unsolicited ideas and suggestions as non-confidential, and we may use them without any obligation to you.

Links we provide. Links to other sites, such as RELEX Solutions or LinkedIn, are for your information only. We have no control over those sites and are not responsible for their content, availability or privacy practices.

Linking to us. You may link to our home page if you do it fairly and legally and it does not damage our reputation or take advantage of it. You must not:

  • suggest any association, approval or endorsement by us that does not exist;
  • link from a site you do not own; or
  • frame the site on another site, or link to any part of it other than the home page, without our written permission.

We may withdraw permission to link at any time.

7. Our liability

What we do not exclude. Nothing in these terms excludes or limits our liability where that would be unlawful. This includes liability for death or personal injury caused by our negligence, and for fraud or fraudulent misrepresentation.

If you use the site for business, as most visitors do:

  1. We exclude all implied conditions, warranties, representations and other terms that might apply to the site or its content.
  2. We will not be liable to you for any loss or damage arising from use of, or inability to use, the site, or from reliance on its content. This applies whether the claim is in contract, tort (including negligence), breach of statutory duty or otherwise, even if the loss was foreseeable.
  3. In particular, we will not be liable for loss of profits, sales, business or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss.

If you are a consumer, we provide the site for domestic and private use only. We are not liable for any loss of profit, business, business interruption or business opportunity.

Viruses. We do not guarantee that the site is secure or free from bugs or viruses. We will not be liable for loss or damage caused by a virus, denial-of-service attack or other harmful material that infects your equipment, programs or data because you used the site or downloaded content from it. Please use your own virus protection.

8. Privacy, law and contact

Privacy and cookies. Our Privacy Policy explains how we use personal data you give us, including through our contact form. Section 5 of it covers cookies; this website currently sets none.

Governing law. These terms, and any dispute arising from them or their subject matter (including non-contractual disputes), are governed by the law of England and Wales.

Jurisdiction. If you use the site for business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may also bring proceedings in the courts of Scotland or Northern Ireland if you live there.

General. If a court finds any part of these terms unenforceable, the rest stays in force. If we delay enforcing these terms, we can still enforce them later.
